On March 11, 2014, the Bankruptcy Court entered the order [Docket No. 2206] (the “Confirmation Order”) confirming the Debtors’ Third Amended Joint Chapter 11 Plan of Reorganization (with Technical Modifications) (attached as Exhibit A to the Confirmation Order, the “Plan”). On April 1, 2014, the Plan became effective.

Pursuant to the Plan, the Debtors created EME Reorganization Trust from which distributions will be made. On the Effective Date, EME Reorganization Trust commenced distributions under the Plan, including distributions to holders of Edison Mission Energy’s senior unsecured notes.

Distribution FAQs for Holders of Senior Notes

  1. I hold a publicly-traded note of Edison Mission, am I entitled to a distribution under the Plan?

    If you owned an EME Senior Note as of April 1, 2014 (the “Effective Date”), you are entitled to receive a distribution pursuant to the Plan.

  2. How do I know if I hold an EME Senior Note?

    The identifying CUSIP numbers of the EME Senior Notes are 281023AN1, 281023AR2, 281023AU5, 281023AX9, and 281023BA8. Please contact your broker to determine if you hold an EME Senior Note.

  3. What will I receive as a distribution?

    Holders of EME Senior Notes will receive their pro rata distribution of (i) the Net Sale Proceeds (i.e., net cash proceeds and stock payable by NRG Energy Holdings Inc. in connection with the Sale Transaction between the Debtors and NRG, (ii) the Net Settlement Proceeds (i.e., net cash and proceeds of the EIX Notes paid to the Debtors in connection with the EIX Settlement), and (iii) the New Interests (i.e., interests in the Reorganization Trust, as successor in interest to EME).

  4. What is the CUSIP of the New Interests?

    The CUSIP of the New Interests is 268684107.

  5. How will I receive my distribution?

    Distributions will be made to holders of EME Senior Notes through The Depository Trust Company (“DTC”).

  6. Will I receive future distributions?

    The Reorganization Trust may make subsequent distributions to holders of the New Interests.

  7. What are the tax implications to me of the distribution?

  8. Can I sell the New Interests that are distributed to me?

    Please contact your broker.

  9. Can I sell the NRG Common Stock that is distributed to me?

  10. Will the EME Senior Notes be cancelled?

    Pursuant to the Plan and except as otherwise provided in the Plan, as of the Effective Date the EME Senior Note indenture was deemed cancelled and terminated and the EME Senior Notes were deemed surrendered and cancelled.
